Vault Terms of Use (Company User)

​1. Overview.

The Products Pending Vault is a secure online workspace for companies to store and manage intellectual property, ideas, and designs (“Vaulted IP”). It is for storage and management only. Licensing or commercialisation of Vaulted IP requires a separate Seller Licensing Agreement with Products Pending.

2. Eligibility.

The Company Vault is available only to registered legal entities (e.g., limited companies, LLPs, corporations, and equivalents). You must be an authorised representative of the company to create and manage the account. We may request verification details, such as company registration number, jurisdiction, registered address, and authorized signatory information.

3. Ownership and Limited License.

Your company retains full ownership of all Vaulted IP. To operate the service, you grant Products Pending a limited, non-exclusive, royalty-free license to host, store, back up, transmit, and otherwise process Vaulted IP solely to provide, maintain, secure, and support the Vault.

4. Confidentiality and Security.

We apply appropriate technical and organisational measures designed to protect Vaulted IP against unauthorised access, disclosure, alteration, or destruction. We keep Vaulted IP confidential and do not disclose it except as you authorise or as required by law.

5. Data Protection.

Each party will comply with applicable data protection laws (including GDPR where applicable). Where legally required, a separate Data Processing Agreement (DPA) will apply and is incorporated by reference when executed. To request or review a DPA, contact us.

6. Your Responsibilities.

You are responsible for the content you upload and for ensuring your company has the rights to store it. Keep account credentials secure and restrict access to authorised personnel only. Do not upload unlawful, infringing, or harmful content. Comply with all applicable laws.

7. Service Availability and Changes.

Complimentary Vault access (if offered) is provided “as is” and “as available.” We may modify, suspend, or discontinue complimentary access with reasonable notice. Any paid Vault services (if purchased later) are governed by their then-current terms.

8. Termination and Retrieval.

You may terminate Vault access at any time. Upon termination of Vault access or your account, you will have a reasonable period to export or retrieve Vaulted IP. After that period, we may delete Vaulted IP in line with our retention policies.

​

9. Liability.

We aim to provide a secure and reliable service, but we are not liable for indirect or consequential losses, or for loss of data, profits, or business opportunities. Your company agrees to indemnify us for claims arising from your breach of these terms or unlawful use of the Vault.

10. Conflicts and Precedence.

If these Terms of Use conflict with your Seller Licensing Agreement in relation to Vault use, these Terms of Use control solely for Vault-related matters. Otherwise, your Seller Licensing Agreement controls.

​

11.Governing Law.

These Terms of Use are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
