5.1 The Platform and its content, excluding user-submitted content, are owned by Products Pending or its licensors and protected by intellectual property laws.

 

5.2 By submitting content (ideas, designs, etc.), you grant Products Pending the rights as set out in the applicable Seller Licensing or Vault Agreement.

6. Fees and Payments
Use of certain Platform features may require payment of fees as described in the applicable agreements. You agree to pay all fees and applicable taxes.

7. Termination and Suspension
We may suspend or terminate your access for violations of these Terms or for any reason with notice. Termination does not affect accrued rights or obligations.

8. Disclaimers and Limitation of Liability
8.1 The Platform is provided “as is” without warranties of any kind.

8.2 Products Pending is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform.

8.3 Our total liability is limited to the amount you have paid us in the last 12 months.

9. Indemnification
You agree to indemnify and hold Products Pending harmless from any claims, damages, or expenses arising from your violation of these Terms or your use of the Platform.

 

10. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference.

 

11. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by posting on the Platform or contacting you.

 

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Disputes will be resolved as set out in the applicable agreements.
